Acceptance of Terms
These Terms and Conditions of Use (“Terms”) govern your access to and use of KitchenBot, including the website located at kitchenbot.io, all subsidiary pages, and the KitchenBot application available on the Clover App Market (collectively, the “Service”), operated by Zendeyo LLC (“Company,” “we,” “us,” or “our”).
By accessing or using the Service in any way — including browsing the website, registering for a trial, or activating the KitchenBot application on your Clover device — you agree to be legally bound by these Terms. If you do not agree to all of these Terms, do not use the Service.
You represent that you are at least 18 years of age, have the legal authority to enter into binding agreements, and are authorized to act on behalf of the business entity (if any) associated with your account. If you are accepting these Terms on behalf of a business, you represent that you have the authority to bind that entity.
Use of Service
Subject to your compliance with these Terms, Zendeyo LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the KitchenBot Service solely for your legitimate business operations in connection with your Clover POS system.
Permitted Uses
- Managing employee time-clock and payroll data for your own restaurant or business.
- Processing commission-free online orders through your KitchenBot storefront.
- Managing tip distributions and employee payroll reports for your business.
- Using the Kitchen Display System (KDS) features to manage kitchen order queues.
- Downloading or printing data solely for internal business purposes.
Restrictions
You agree that you will not, under any circumstances:
- Use the Service for any illegal purpose or in violation of any applicable law or regulation.
- Resell, sublicense, or otherwise make the Service available to third parties for their independent use.
- Copy, reproduce, reverse engineer, decompile, or attempt to derive the source code of the Service.
- Interfere with or disrupt the integrity or performance of the Service or the servers and networks connected to it.
- Use automated means (bots, scrapers, crawlers) to access or collect data from the Service without our prior written consent.
- Upload or transmit viruses, malware, or any other harmful code.
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
- Attempt to gain unauthorized access to any portion of the Service or any related systems.
Subscription & Billing
KitchenBot is offered on a monthly subscription basis at the rate displayed on our Pricing page at the time of your subscription. Currently, access to all KitchenBot features is available for $49/month per Clover device location.
Free Trial
We may offer a free trial period for new subscribers. During the trial period, you will have full access to the Service at no charge. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial period expires. No charges will be made without your Clover account authorization.
Billing & Payment
Subscription fees are billed monthly through the Clover App Market and processed by Clover/Fiserv in accordance with your Clover merchant agreement. By subscribing to KitchenBot through the Clover App Market, you authorize recurring monthly charges to your Clover merchant account. All fees are non-refundable unless otherwise stated or required by law.
Price Changes
We reserve the right to modify our pricing at any time. We will provide you with at least 30 days’ advance notice of any price changes via email or through the application. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new price.
Cancellation
You may cancel your KitchenBot subscription at any time through the Clover App Market. Cancellation takes effect at the end of the current billing period. You will continue to have access to the Service through the end of the period for which you have already paid. We do not provide prorated refunds for partial months.
Clover Integration
KitchenBot is built as a native application for the Clover point-of-sale platform, operated by Clover Network, LLC, a subsidiary of Fiserv, Inc. Use of KitchenBot requires an active Clover merchant account and compatible Clover hardware.
By using KitchenBot, you authorize the application to access data within your Clover account, including but not limited to: employee records, time-clock entries, transaction data, order history, tip data, menu information, and customer contact details (for order notifications).
Clover’s Terms Apply Separately
Your use of the Clover platform is governed by Clover’s own terms of service and privacy policy, which are separate from and independent of these Terms. We are not responsible for Clover’s actions, service interruptions, policy changes, or any decisions made by Clover that affect your access to the Clover platform or your data stored therein.
Service Dependency
Because KitchenBot depends on Clover’s infrastructure and APIs, disruptions, changes, or limitations imposed by Clover may affect KitchenBot’s functionality. We will use commercially reasonable efforts to maintain compatibility with Clover’s platform but cannot guarantee uninterrupted service in the event of Clover-side changes or outages.
User Accounts
Access to KitchenBot is tied to your Clover merchant account credentials. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You agree to notify us immediately at support@kitchenbot.io of any unauthorized use of your account or any other security breach.
- You are responsible for ensuring that all persons who access the Service through your account are aware of and comply with these Terms.
- We will not be liable for any loss or damage arising from your failure to safeguard your account credentials.
- You agree to provide accurate, current, and complete information when registering for or using the Service, and to keep such information up to date.
Acceptable Use Policy
KitchenBot is intended for lawful business use only. You agree that you will not use the Service to:
- Violate any applicable federal, state, local, or international law or regulation.
- Process orders or transactions for illegal goods or services.
- Fraudulently manipulate time-clock, tip, or payroll data.
- Transmit any unsolicited commercial communications to your customers in violation of applicable anti-spam laws.
- Collect or store customer personal information beyond what is reasonably necessary for processing orders and providing the Service.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service.
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing offending content and terminating or suspending their account.
Third-Party Services & Links
The Service may contain links to, or integrate with, third-party websites, services, or applications not owned or controlled by Zendeyo LLC, including Clover, payment processors, and delivery platforms. We provide these integrations as a convenience and do not endorse, control, or assume responsibility for any third-party services.
Third-Party Content
We do not warrant the accuracy, completeness, or usefulness of any third-party content. You acknowledge and agree that Zendeyo LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with your use of any third-party service, content, or application.
Linking to KitchenBot
You may link to the KitchenBot home page using a plain text link, provided the link does not imply any endorsement or affiliation. You may not use the KitchenBot name or logo in any manner that creates the impression that such marks belong to or are associated with you, or frame any KitchenBot page without our prior written permission.
Intellectual Property
The Service and all content, features, and functionality thereof — including the software, text, graphics, logos, icons, images, data compilations, and the selection and arrangement thereof — are the exclusive property of Zendeyo LLC and its licensors, and are protected by United States and international intellectual property laws.
Limited License
We grant you a limited, personal, non-exclusive, non-transferable license to access and use the Service solely for your own internal business purposes in accordance with these Terms. This license does not include the right to resell or commercially exploit the Service, or to use any data or content for any purpose not expressly permitted.
Your Content
You retain ownership of all data, content, and information you submit to the Service (“Your Content”), including your menu items, business information, and employee records. By submitting Your Content, you grant Zendeyo LLC a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely for the purpose of operating and providing the Service to you.
Trademarks
“KitchenBot,” the KitchenBot logo, and all related marks are service marks, trademarks, and/or trade dress of Zendeyo LLC. All other trademarks and company names are the property of their respective owners. You may not use our trademarks without our prior written consent.
DMCA / Copyright Claims
If you believe content on the Service infringes your copyright, contact us at support@kitchenbot.io with: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location; and (c) your contact information.
Disclaimers & Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZENDEYO LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:
- Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement.
- Any warranty that the Service will be available on an uninterrupted, timely, secure, or error-free basis.
- Any warranty regarding the accuracy, reliability, or completeness of any information provided through the Service.
- Any warranty that defects in the Service will be corrected.
No Professional Advice
KitchenBot provides payroll reporting and time-clock data as a management tool. This information is not a substitute for professional accounting, legal, tax, or financial advice. You are solely responsible for verifying the accuracy of payroll data and complying with all applicable labor, tax, and wage laws.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZENDEYO LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, revenue, data, business, or goodwill.
- Business interruption or loss of business opportunity.
- Any damages resulting from errors or omissions in payroll, time-clock, or tip data generated by the Service.
- Any unauthorized access to, or use or alteration of, your data or transmissions.
- Any damages resulting from Clover platform outages, changes, or service termination.
IN NO EVENT SHALL ZENDEYO LLC’S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In those jurisdictions, our liability shall be limited to the greatest extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Zendeyo LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
- Your use of, or inability to use, the Service.
- Your violation of these Terms.
- Your violation of any applicable law or the rights of any third party.
- Your Content, including any claim that Your Content causes damage to a third party.
- Inaccurate payroll, tax, or wage data submitted to or generated by the Service as a result of your inputs.
- Any misuse of customer data collected through KitchenBot’s online ordering feature.
Termination
Termination by You
You may cancel your subscription at any time through the Clover App Market. Cancellation takes effect at the end of your current billing period. Upon cancellation, your access to the Service will cease at the end of the paid period.
Termination by Us
We reserve the right to suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if required to do so by law, or if providing the Service becomes commercially unviable.
Effect of Termination
Upon termination of your account, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including warranty disclaimers, indemnification, and limitations of liability. We will retain your data as described in our Privacy Policy, after which it may be permanently deleted.
Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 14 days’ advance notice by posting a notice on the Service and/or sending an email to the address associated with your account.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.
Changes to the Service
We also reserve the right to modify, suspend, or discontinue all or any part of the Service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States of America, without regard to its conflict of law provisions.
Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association, or file a claim in a court of competent jurisdiction.
Venue
For any matters not subject to arbitration, you agree to submit to the exclusive personal jurisdiction of the courts located in Mecklenburg County, North Carolina, USA.
Waiver of Class Action
Any dispute resolution proceedings will be conducted on an individual basis only. You waive the right to bring or participate in any class action or representative proceeding against Zendeyo LLC.
Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
